1. Binding Agreement and Eligibility
These Terms of Service ("Terms") constitute a legally binding agreement between Easily Business Suite ("we," "our," "us," or "the Platform") and the business entity, corporate organization, or individual administrator ("you," "your," or "the Tenant") registering or using the Service.
By registering a corporate workspace, activating subscription tiers, or permitting your personnel to log in, you confirm that you possess the full legal capacity, corporate power, and authorization to bind your entity to these Terms. If you represent a firm or incorporated business in Nigeria, you confirm that you are authorized to bind such business.
The Service is designed strictly for commercial, business, and administrative operations. You must be at least 18 years of age to create a workspace account or register as a portal administrator.
2. Service Description and Platform Updates
Easily Business Suite is an All-in-One Business Operating System (ERP) providing multi-tenant applications for branch sales tracking, point of sale (POS) cash registers, project timelines, invoice records, financial double-entry ledger charts, and staff payrolls.
To preserve system security, optimize speed, and introduce new ERP features, we continuously update our modules. We reserve the absolute right to modify, patch, upgrade, or temporarily restrict the Service for scheduled maintenance operations. We will use commercially reasonable efforts to schedule database maintenance windows during non-peak operating hours in Nigeria.
3. Workspace Setup, Admins, and Personnel Access
Access to the Service requires the registration of a unique multi-tenant workspace. As the primary administrator, you are solely responsible for:
- Securing all authentication tokens, passwords, and API configurations connected to your workspace.
- Configuring role permissions (e.g. Accountants, Sales Associates, HR Managers) appropriately. You are fully liable for all data creations, deletions, or ledger entries executed by users you authorize.
- Ensuring your personnel operate the portal in strict compliance with the labor, payroll tax, and commercial transactional laws of Nigeria.
4. Acceptable Use and Prohibited Operations
Your workspace license is granted subject to your compliance with our usage rules. You agree that you will not:
- Use the Platform to store, record, track, or process fraudulent POS entries, money laundering logs, or illicit sales invoices.
- Deploy any scripts, automated crawlers, or screen scrapers to export proprietary HTML configurations or compiled code.
- Execute security scanning, vulnerability sweeps, or port testing on our servers without explicit written authorization.
- Attempt to gain unauthorized entry to other tenant databases or manipulate API endpoints outside your assigned workspace scope.
- Reverse-engineer, modify, duplicate, or steal the CSS scripts, React bundles, or Laravel codebase of Easily Business Suite.
5. Subscriptions, Fees, Renewal, and Taxes
Subscription Tiers: Access is provided on monthly or annual subscription plans determined by branch capacities, active staff counts, or custom ERP module tiers.
Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless you formally request cancellation before your active term expires.
Grace Periods & Suspensions: If automatic payments fail, we grant a secure 14-day grace period for card updates. Unpaid accounts exceeding 14 days will be temporarily locked. Database records are preserved safely during lockups, but the workspace remains inaccessible until invoices are settled.
Taxes: All subscription fees are exclusive of applicable Value Added Tax (VAT) in Nigeria. You agree to pay all statutory taxes resulting from your workspace license.
6. Intellectual Property Rights and Content License
Your Data License: You grant us a secure, limited, and non-exclusive license to host, parse, cache, and backup your workspace inputs (employee records, POS items, finance files) strictly for the purpose of serving the application to you. You retain 100% ownership and control over your data.
Our Intellectual Property: We retain all right, title, and interest in Easily Business Suite. This includes all visual interfaces, database architectures, graphics, branding assets, custom React modules, and compiled backend frameworks.
7. Service Level Agreement and Disclaimers
We use commercial best practices to maintain a **99.9% uptime** across our platform hosting nodes. However, the Service is provided "as is" and "as available."
We make no warranty, express or implied, regarding the merchantability, operational fitness for a specific purpose, or that our modules will operate completely error-free. You are responsible for ensuring that all payroll deductions, branch balance sheets, and invoice tax calculations are verified before running company transactions.
8. Limitation of Liability and Indemnification
To the maximum extent permitted under commercial laws:
- Liability Cap: Easily Business Suite's aggregate financial liability for any breach, dispute, or operational failure is limited strictly to the total subscription fees paid by you to the Platform during the six (6) months immediately preceding the dispute event.
- Indemnification: You agree to defend, indemnify, and hold harmless Easily Business Suite and its developers from and against any claims, losses, liability, or employee wage/payroll disputes arising from your configuration of the ERP, POS inaccuracies, or data entries made by your portal managers.
9. Dispute Resolution and Governing Law
These Terms are governed by, construed, and enforced in accordance with the laws of the Federal Republic of Nigeria.
Any disputes, controversies, or claims arising out of these Terms or the use of the platform will first be submitted to amicable negotiation. If a resolution is not reached within thirty (30) business days, the dispute shall be referred to and finally resolved by binding arbitration under the Arbitration and Mediation Act in Nigeria. The arbitration proceedings shall be conducted in Lagos, Nigeria, by a single arbitrator, in the English language.
10. Termination and Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction or arbitration tribunal, the remaining provisions of these Terms will continue in full force and effect.
You may terminate your subscription at any time by accessing your administration billing console. We reserve the right to suspend or terminate workspaces that breach these Acceptable Use rules without liability.
